General terms

Eligibility

Clients must be legally capable of entering into contracts and operate legitimate businesses. Use of growizsy services must comply with applicable laws in Thailand and the client's operating jurisdictions.

Clients must be at least 18 years old or otherwise able to enter into binding agreements under local law.

Services may not be used for unlawful activities, infringing intellectual property, or to develop software that facilitates wrongdoing, discrimination, or harm.

Provision of certain services may be restricted in some countries. growizsy will inform clients of any limitations applicable to their location or project scope.

Account management

Clients receiving access to project portals, repositories, or dashboards are responsible for account information and authorized users assigned to their account.

Provide accurate business and billing information. Notifications and project updates rely on correct contact details.

Maintain the confidentiality of account credentials. Notify growizsy immediately if you suspect unauthorized access.

Accounts and subscriptions are non-transferable without prior written approval from growizsy.

If an account compromise is suspected, notify growizsy immediately at [email protected] so we can act to secure systems and mitigate risk.

growizsy may suspend access for accounts involved in abusive or unlawful activities, or for non-payment where applicable, after prior notice when feasible.

Services provided

growizsy provides custom software development, system integrations, cloud deployments, and ongoing support tailored to business objectives. Scope, deliverables, timelines, and acceptance criteria are defined in each project agreement.

Project scope may change through agreed change requests. Additional work or scope expansions may incur fees and adjusted timelines.

We aim for reliable service delivery, but occasional maintenance or interruptions may occur. Major availability expectations will be set in service-level agreements where applicable.

Usage rules

When using growizsy services, clients agree to comply with the following rules to maintain a safe and productive engagement.

• Respect intellectual property and do not upload materials you do not own or have rights to.
• Do not attempt to bypass security, access controls, or exploit vulnerabilities in growizsy systems.
• Provide timely feedback and approvals required to progress project milestones.
• Communicate any project constraints clearly, including regulatory or compliance requirements.
• Use services for lawful business purposes and avoid content that promotes hate, violence, or illegal activity.
• Respect confidentiality provisions and do not disclose sensitive project data without authorization.
• Cooperate with reasonable requests from growizsy to address security or legal concerns.

User content

Clients may supply content, data, and specifications for inclusion in deliverables. This input is referred to as User Content.

Clients retain ownership of their User Content. growizsy's work products may incorporate Client Content subject to agreed licensing and payment terms.

By providing User Content, clients grant growizsy a limited license to use, modify, and store that content for the purpose of delivering services and performing development tasks.

Clients are responsible for the legality, accuracy, and rights clearance of User Content provided to growizsy, including third-party materials and data sets.

growizsy may remove or refuse content that violates these Terms or applicable laws. Clients will be notified if removal affects delivery timelines.

Intellectual property

Intellectual property rights in pre-existing growizsy tools, frameworks, libraries, and methodologies remain with growizsy. Custom code and deliverables developed under full payment and agreed assignment terms are assigned to the client as specified in the project contract.

• Clients may not reproduce or redistribute growizsy-owned components beyond the scope permitted by the contract.
• Reverse engineering of deliverables that include growizsy proprietary components is prohibited unless expressly permitted in writing.
• Use of open-source components is subject to their license terms; clients agree to comply with those licenses.

Paid services

Paid engagements are governed by the project proposal, statement of work, and invoicing terms agreed before work commences.

Pricing is set in the written proposal. Estimates for time-and-materials work are indicative and final invoices will reflect actual time and expenses as agreed.

Invoices are payable according to the payment schedule in the contract. Late payments may incur interest or result in suspension of services.

Subscription-based services are billed as specified (monthly, quarterly, or annually) and continue until cancelled in accordance with the agreement.

Refunds, if any, are handled per the terms in the project agreement and depend on the nature and timing of the request relative to delivered work.

Cancellation terms depend on the contract. Notice periods and any termination fees are outlined in the service agreement.

Clients are responsible for applicable taxes associated with purchases unless otherwise stated. growizsy will itemize taxes where required.

growizsy may update pricing for future work with notice. Existing contracts remain subject to their agreed pricing unless otherwise amended.

Non-payment may result in suspension of services, withholding of deliverables, and collection actions. growizsy will communicate before taking such steps.

Disclaimer

Services are provided on an 'as is' basis. growizsy provides professional software development and consulting but does not make absolute predictions about business outcomes. Success depends on cooperation, data quality, and implementation by the client.

Limitation of liability

Except where prohibited by law, growizsy's liability for direct damages arising from services is limited to amounts paid by the client for the specific services giving rise to the claim in the previous 12 months. growizsy is not liable for indirect, special, or consequential damages.

Third-party services

growizsy may integrate third-party platforms or services into solutions. Use of those services is subject to the third parties' terms and growizsy is not responsible for their performance or availability.

Termination

Either party may terminate the services as provided in the contract. Termination procedures, final deliverables, and settlement of outstanding fees will follow the agreement.

On termination, growizsy will deliver completed work per the contract and return or archive client data as specified. Outstanding fees for work performed up to termination remain payable.

Privacy

growizsy handles personal data according to the privacy policy available on growizsy.digital. Data processing is limited to what is necessary for delivering contracted services and complying with legal obligations.

Communications

growizsy will send project updates, invoices, and critical notices by email or through agreed project tools. Urgent operational issues may be escalated by phone.

Changes to terms

growizsy may update these Terms of Service. Clients will be notified of material changes and continued use after notice constitutes acceptance of updated terms.

Governing law

These terms are governed by the laws of Thailand. Disputes will be handled through good-faith negotiation and, if necessary, through the courts or dispute resolution mechanisms in Thailand.

Dispute resolution

Parties should seek amicable resolution first. If unresolved, disputes may proceed to mediation or the courts in Thailand, unless the parties agree to alternative dispute resolution.
